  • Mercer global survey reveals employees' attitudes towards work and factors driving motivation

    Employee loyalty is eroding around the world, according to new global analysis of Mercer’s What’s Working™ survey. The research, conducted among nearly 30,000 employees in 17 geographic markets between the fourth quarter of 2010 and the second quarter of 2011, shows that the percentage of workers seriously considering leaving their organization at the present time has risen since the last time the survey was conducted in each market (between 2003 and 2006 prior to the economic downturn).

    In many markets, the increase is 10 percentage points or more (see Figure 1). In Asia Pacific, loyalty has eroded considerably since the last time the survey was conducted. Specifically, in India, China and Australia, the increase was 28%, 16% and 15%, respectively, which shows general apathy towards work.

    “The overall employment deal is changing around the world, causing employees to rethink what they are getting from the employment relationship versus what they are giving,” said Brenda Wilson, Asia Pacific Leader for Talent Management at Mercer. “Our research shows that, despite some ongoing economic uncertainty, more employees would consider leaving today for a better opportunity.”

    The survey analysis also shows shifting views on other workforce issues that affect engagement. Worldwide, views on pay and performance issues generally improved, while views on employee benefits generally declined. By market, views were mixed on subjects like career opportunity and leadership.

    What motivates employees?

    The global analysis also reveals that nonfinancial factors play a prominent role in influencing employee motivation and engagement – a finding that could prove useful to employers facing budget constraints. Workers worldwide say that being treated with respect is the most important factor, followed by work/life balance, type of work, quality of co-workers and quality of leadership.

    Among financial factors, base pay ranks highest globally, at sixth out of 13 factors. It ranks as the top factor in just one market (Hong Kong) and among the top three most influential factors in four other markets – China, India, Italy and Singapore.

    While other financial factors, such as benefits and incentive pay, can be important to other aspects of the employment relationship – such as attracting, retaining and rewarding employees – Mercer’s research shows they are considered less important by employees when it comes to their day-to-day motivation and engagement at work.

    “Employee engagement reflects the total work experience, and a big part of it is how you are treated, what kind of work you do and how you feel about your co-workers, bosses and the general work environment,” said Ms Wilson. “Without a doubt, financial factors like pay and benefits are a vital part of the employment deal, but employers need to consider and manage the full range of factors to ensure that their workforce is engaged.”

    Results by region

    Mercer’s research shows that the factors most important to motivation and engagement vary by region:

    Asia Pacific – Results for this region are less consistent by market compared to the Americas and Europe. In Asia Pacific, financial factors ranked higher in importance than they did in all other regions. In fact, base pay was the top factor in Hong Kong and among the top three factors in three other countries (China, India and Singapore). We didn’t see that anywhere else but Italy.

    • “Both non-financial and financial factors play a role in employee motivation, so employers need to recognize and use the full range of factors available to them to drive motivation and engagement,” Ms Wilson added. “In many parts of the world, the economic situation is not as strong as it is in Asia Pacific currently, so it is particularly important for employers to think about how to leverage the non-financial factors to boost motivation and engagement.”

    Americas – In addition to the global top five nonfinancial factors – respect, work/life balance, type of work, quality of co-workers and quality of leadership – working in an environment where employees can provide good service to others ranks highly in importance in North and South America. Base pay ranks as the most influential financial factor. (See Figure 2.)

    • In the US, the importance of financial and nonfinancial factors closely mirrored the global findings. Two areas of note that scored higher than the global average were benefits and working in an environment where you can provide good service to others. Areas below the global average for US employees included learning and development opportunities, promotion opportunities and incentive pay/bonus.

    Europe – Results for the seven European countries included in Mercer’s survey show striking consistency. Nonfinancial factors (being treated with respect, work/life balance, type of work and quality of co-workers) are considered most important to employee motivation and engagement at work. (See Figure 4.)

    Mercer’s proprietary What’s Working survey, which examines employee views on work, includes more than 100 questions on a range of work-related topics and reflects the overall workforce demographics of the 17 survey markets in terms of age, gender and job level.

    To arrive at the results regarding what motivates employees, Mercer asked survey respondents worldwide to consider both current and previous jobs and state how important 13 factors were in influencing their motivation and engagement at work. The top rating of “extremely important” could only be used for the one or two most important factors. Scores are assigned to an index of 100 to show relative importance by market and globally. Scores near 100 are of middle importance, scores above 100 are more important and scores below 100 are less important.

    人力资源领域10年以上经验,其中5年半任职于全球500强人力资源公司;

    在任职期间有2年猎头顾问经验,3.5年担任业务经理,曾任职于外资咨询公司内部人力资源主管职位。

    猎头观点:

    从定义来说,猎头公司就是依靠猎取社会所需各类高级人才而生存、获得的中介组织。 与普通中介不同,猎头公司的猎物对象是高级管理人才,他们往往采取隐蔽猎取、快速出击的主动竞争方式,为客户猎取普通的人才市场得不到的高端人才。随着猎头公司在中国逐渐发展,不可避免地出现激烈竞争,近几年,开始出现一些小的猎头公司来为企业物色普通的管理人才,也就是所谓中端人才。

    其管理架构大致如下:

    •   Director
    •   Mgr. :不做单,主要任务是带团队
    •   Team Leader:下辖几个顾问
    •   Senior consultant:高级顾问
    •   Consultant:顾问
    •   Researcher: 主要负责打cold call

      一, 猎头公司主要业务

    在规定时间内完成企业的人才需求任务, 或者接手对企业的整体人才外包(较短期)。

      二, 数据库建立

    除了招聘网站信息,cold call得到的信息, 另一最重要的数据库体系来自于面试时对一个面试者相关的信息系统建立,他的上下关系,甚至他整个部门的架构,都能够通过各种技巧得到。(比如双方的信息交换)

      三,公司委托

    公司常常会委托两家以上的猎头公司做同一职位,以求最快得到理想人才。

    不同猎头公司会对行业有偏重,也有综合性的猎头公司涵盖行业较广,但内部会针对不同行业分工。

    了解了这些知识后,对于猎头公司业务以及以后的招聘和择业方面,同学们纷纷提出问题。

      问题一:

    你们怎样来完成挖人的过程?

    沟通。找到人只是工作的30﹪,随后的沟通与说服占到70﹪。所以与人沟通的技巧是能够就职于猎头公司的基本素质。

      问题二:

    如果我想涨工资,是不是可以通过找你们跳槽来走捷径?

    一般来说,被猎人才薪水涨幅普遍为20﹪—-30﹪ ,但不建议大家以此为王道频繁跳槽,因为会有企业相要的是具有忠诚度的人才,这时,过于频繁的跳槽经历会阻碍求职 。

      问题三:

    为什么你们会有固定客户?你们服务如何收费?

    一般为一年年薪的30﹪ 。举例来说,对于年薪10万的高级人才,猎头的服务费才3万元左右。而企业如果用一个人力资源部职员,平均一年也需要3万元左右。但他们能否在较短的时间内找到企业所需要的高级人才呢?人力资源部一年的办公费用和招聘费用要在几万或几十万元以上,而招聘的人员也未必都能让企业满意。因此猎头的费用远远低于企业自身聘用专人的薪酬及招聘费用,所以也就有许多公司将人力资源的招聘业务外包给猎头。

      最后,向大家给出两点建议:

    1,择业时注意了解该职位招聘的时间,是否长期招不到人或者此职位流动性很大,说明此职位设定是有一定问题的,选择需谨慎。

    2,如果有同学希望向猎头方向发展,那么英文是重要技能。客户多为国际化大企业,所以仅仅有人脉和搜罗人才的技巧是不够的,英文作为沟通的桥梁在此时起到了极其重要的作用。猎头公司的重要职位上,都是英文精通的人才而非信息量最大的人才。

    惠普公司日前对外宣布,该公司执行副总裁兼首席战略技术官肖恩·罗宾逊(Shane Robison)将于11月1日正式退休,他的离开也是梅格·惠特曼(Meg Whitman)取代李艾科(Leo Apotheker )作为惠普新任CEO以来公司高层的首次变动。

    罗宾逊于2001年随着惠普收购康柏公司而加盟该公司,继续担任之前在康柏公司所任的执行副总裁兼首席战略技术官之职,帮助惠普公司塑造企业战略和技术研究议程,带领公司完成了许多成功的并购交易,加强了研发力度,因此也为自己赢得了“惠普大交易首席架构师”的称号。

    HP today announced Shane Robison will retire as executive vice president and chief strategy and technology officer effective Nov. 1.

    Robison, an 11-year HP veteran, also served as a member of the company’s Executive Council. In his role, he was responsible for shaping HP’s corporate strategy and technology agenda. He was instrumental in steering the company’s multibillion-dollar research and development investment and has led many of the company’s largest merger and acquisition activities.

    HP also announced that, in an effort to drive strategy, research and development closer to the company’s businesses, it will not be replacing the role of chief strategy and technology officer.

    “Shane has been a powerful innovator for our business groups and other corporate divisions,” said Meg Whitman, HP president and chief executive officer. “His passion for research and development has ensured that innovation continues at HP.”

  • 什么是Stock Option?创业公司应该如何给员工股票期权

    本文的作者邵亦波为易趣创始人,他和另外一个合伙人创立的易趣于2003年卖给了eBay. Stock Option,也就是股票期权是小公司用来吸引人才的一个重要法宝。很多人或多或少听说过期权这个概念,但可能相当一部分人对于期权是如何运作的可能还是一知半解。本文从初创公司角度出发解释了应该如何发放期权?应该发放多少?发放给那些人?Vesting的时限为多长?行权的价格如何制定?

      从我1999年回国创业到今天,这十年里面,很多东西都变了——海归过时了,土鳖称霸,我刚回国的时候期权这个词还不存在,到现在每个创业者和员工、甚至我父母这一辈的人都听说过。记得1999年时,我想请两个工程师成为我公司第三和第四名员工,花了九牛二虎之力,承诺每个人会有2%的stock option。他们问我这stock option是什么东西,我解释了半天,翻字典查网络,把这个stock option翻译成股票期权。最终他们都没有加入,错过了日后成为千万富翁的机会。

      期权给一个员工以一定的行权价格(strike price)——一般是一个很低的价格——在一段时间里买入公司普通股的权利。这个权利是很值钱的。我记得1999年易趣总共有400万股,假设一个员工拿到2%即8万股,行权价格是1美分。公司在2003年卖给eBay的时候,每股已经拆分为10股,拆分后每股4美元,那么这些期权价值是(4 – 0.01/10) × 80,000 × 10 = 3,200,000美元(行权价格可以忽略不计了)。

      公司在很小的时候,付不起很高的工资,而且要员工放弃原有稳定的工作,这个时候期权就是一个很有用的东西去激励员工。除了可以“吸引”员工加入之外,期权可以起到“留住”员工的作用。一个员工如果拿了工资或者奖金,然后离开公司,对公司肯定有损害、但对员工自己没有损害。员工如果拿了期权,情况就不一样了:首先,期权需要几年(一般是3到5年)Vest,早走就少拿,如果是5年Vest,他两年就走,只能拿五分之二。其次,一般的期权协议规定,辞职的员工在离职后90天内需要行使期权,过期作废,这样即使是一分钱、一毛钱美元的期权,如果是几万股,员工也可能要拿出上万元人民币才能拿到这些普通股。在公司上市前,这些普通股是不流通的,只是一张白纸而已,所以对很多员工来讲,买不买是一个困难的决定。第三,一个重要的员工走了,对公司造成损失,同样他作为股东也要承受这些损失,这也会成为促成一个员工留在公司的原因之一,或者至少不太会离开公司去竞争对手那边去,做出对公司有害的事情。

      好了,讲了这些基本的概念,接下来谈一些操作层面上创业者经常遇到的问题。

      第一,最常见的问题是“给多少”?当然,总的来说,“给多少”主要取决于员工在公司的职位、薪水和公司的发展阶段。如果我只说这些空话,可能没有很大帮助,所以以我本人的经验下面给大家一些大约的数字供参考。公司初创时(定义在VC进入之前),一个副总可能要2 %到5%的期权;A轮融资之后,副总变成1%到2%;B轮融资后,副总变成0.5%到1%;C轮或者接近IPO的时候,副总就是0.2%到0.5%。公司除了创始人之外的核心高管(CTO、CFO等)一般是VP的2到3倍,总监级别的一般是副总的三分之一到二分之一,依此类推。这只是一个大约的估计,实际操作上还有很多因素。例如一个副总可能想要更多的期权,肯把他的工资降到很低(这种人我喜欢,因为看得出他对公司的热情和信心)。公司到后期,期权就不再以百分比来谈,而是以几股几股来谈了。

      有人可能会问我如何定义副总、总监,因为不同的人定义可能是很不一样的。我定义副总是一个能独挡一个或几个公司部门,管理至少几十个人的人,是一个你可以想象在公司成熟、甚至上市后,还是一个随着公司成长能继续做副总的人。总监是一个在公司早期能负责一个部门工作,但在未来还看不出能够在公司成熟后继续独挡一面的人,他可能成为副总,也可能成为副总下面管理一个部门中一个或者几个分支的负责人。总监也可能是一个最核心、最厉害的技术高手。如果你对副总、总监的定义不一样,可以对我刚才的数字做调整。

      第二大问题是Vesting的问题,3年、4年还是5年?很多创业者都觉得短一些好,我觉得长一些好。做一个好公司,三年成功是非常幸运的,五年是比较正常的。你不希望你的员工过了两年半来找你问:“我的期权再过半年就全部Vest了,请再给我一点吧。”还有一个条款是在公司上市或被卖的时候,员工没有被Vest的期权是不是应该全部立即Vest(accelerated vesting)。这里大家没有一个共识。我觉得可以把剩下的没有Vest的期权Vest一半,这样员工比较高兴,觉得比较公平。同时,不全部Vest,可以避免公司上市或被卖后,很多员工都马上走掉。

      第三大问题是期权给多少人。易趣当时走的是硅谷道路,公司几乎每个人都有期权,而且发得很早,公司刚开始就有,员工过了试用期就发。这种做法的好处是可以齐心协力,大家一起把公司做成功,大家都高兴。坏处是因为每个人都有,每个人都“免费”拿到,很多人不够珍惜,觉得期权不会值很多钱。也有些公司,走的是另一个极端,发得很晚,到了公司快上市的时候才发,而且发得很少,很多员工都没有,或者做了两三年以上的老员工才有。我现在参与的几家公司,包括安居客、诺凡麦等在内,是采取折衷的方法,还是比较多的员工有期权,但不是“自动”的,而是员工的职位或者工作表现满足了一定的标准再给,要给的话是比较多的。

      第四大问题是行权价格该定多少。如果A轮的价格是2美元,行权价格应该是2美元、1美元还是20美分呢?很多 VC坚持要定为2美元,理由是如果VC不赚钱、最终退出时股价不到2美元,那么员工也不应该赚钱。我不是很同意这个观点。首先,期权的目的就是要吸引、激励员工,行权价格定得越低,每股期权的价值就越大,就越有吸引力。其次,在公司最终上市或卖掉时,期权的行权价格并不影响VC的回报。比如公司卖的价格是 2亿美元的话,每股定价就是2亿美元减去优先清算权(见上期)后再除以所有股票的数量(包括优先股、普通股及所有期权,英文叫total outstanding shares on a fully diluted basis)。理论上,正确的算法应该是(总金额+期权量×平均行权价格)/所有股票数量,但我从没见一个投资银行家或者并购的买家这样算过。所以,把行权价格定得高,是损人不利己的事情。

      那么期权的行权价格要定得低,能有多低?这要看会计师。一般,会计师会允许一个初创企业以上一轮优先股股价的十分之一作为期权的行权价格。到公司接近上市的时候,行权价格就会慢慢接近优先股价格。上市后,行权价格一定要是上市股票的当前价格。

      我是很喜欢期权这个东西的,它是小公司能够吸引到人才并且留住人才的最大法宝,而人是公司成功最重要的东西。

    雅虎(Yahoo)已宣布,解除卡罗尔•巴茨(Carol Bartz)首席执行官的职务。此举距巴茨出任这一职位不到三年时间。此前投资者已持续抱怨雅虎股价持续下跌,增长低迷,在亚洲的投资遭遇困难。雅虎是全球访问量最大的网站之一。

    巴茨在周二晚间发给员工的一封简短的电子邮件中称,她已经被雅虎董事长罗伊•博斯托克(Roy Bostock)“在电话中”解雇,并希望其他员工好运。

    雅虎在随后召开的记者招待会上表示,董事会已经任命首席财务官蒂姆•莫斯(Tim Morse)担任临时首席执行官,并在寻找下一个正式的首席执行官。

    此举消息一出,投资者就表示了欢迎。在盘后交易中,雅虎股价较收盘价12.91美元上涨逾6%。目前的股价大约相当于巴茨2009年1月加入雅虎时的股价,但远低于2008年微软(Microsoft)提出收购要约时给出的价格。

    经过数月谈判,阿里巴巴于7月同意保留支付宝(Alipay)37.5%的股份,也就是说,如果支付宝上市,阿里巴巴将从支付宝获得20亿至60亿美元的补偿,外加知识产权使用费用。

    Bartz ousted as Yahoo chief executive

    Carol Bartz was summarily dismissed as Yahoo chief executive after less than three years atop one of the world’s most-visited internet sites amid continuing investor complaints about its sagging stock price, low growth and difficulty with Asian investments.

    In a terse e-mail to employees sent late on Tuesday, Ms Bartz said that she had been ousted “over the phone” in a conversation with Roy Bostock, Yahoo chairman, and that she wished remaining employees luck.

    Yahoo said in a subsequent press release that the board had named Tim Morse, chief financial officer, as interim chief executive as it seeks a permanent replacement.

    Investors cheered early word of the change, sending Yahoo shares up more than 6 per cent in after-hours trading from a closing price of $12.91. That is about the level they traded at when Ms Bartz joined the company in January 2009 and well below the price offered in a takeover bid from Microsoft the year before.

    Ms Bartz, formerly the chief executive of design software maker Autodesk, was initially greeted warmly by Yahoo shareholders after the previous leadership failed to consummate an acquisition by Microsoft, which was willing to pay a large premium to bolster its search-engine competition with Google.

    But Ms Bartz came under fire before her first year was up after negotiating a more limited alliance with Microsoft. In that deal, Yahoo tapped Microsoft to produce the automated part of its search results, saving development money but splitting ad revenue.

    The complex arrangement has failed to generate as much advertising revenue as executives had predicted. In the meantime, Yahoo has shown nowhere near the growth in user time spent on its site as more innovative and younger companies, such as Facebook and Twitter.

    That has kept display advertising revenue, where Yahoo had long been the top player in North America, hobbled as well. Researcher firm eMarketer predicted in June that Facebook would pass Yahoo in that category this year.

    Yahoo had at least two major rounds of job cuts under Ms Bartz as she tried to refocus the company on core strengths and pitch advertisers on premium packages.

    The final strike against Ms Bartz may have been her handling of two of Yahoo’s most valuable remaining possessions, minority investments in Yahoo Japan and in Alibaba Group.

    Under shareholder pressure, Ms Bartz has said Yahoo is exploring ways to monetise the stake in Softbank’s Japanese Yahoo network without the tax penalty that would come with an outright sale.

    But though those talks continue in private, a fight with Alibaba and its founder Jack Ma has played out in an embarrassingly public way.

    Alibaba, which is the largest e-commerce company in China, turned over control of its online payments unit to a group run by Mr Ma without establishing terms for the group to compensate Alibaba. Yahoo has a board seat at Alibaba but said it was informed belatedly of the sale, raising questions about whether it could be squeezed out of more Alibiba value.

    After months of heated negotiations, Alibaba agreed in July to keep 37.5 per cent of Alipay or receive a payment of between $2bn and $6bn if the payment business goes public, plus royalties.
